This is one of those days where we had deals getting done big mergers and acquisitions we also have. Rumors of mergers and acquisition and for the life of me I can't decide where to start I guess. We might as we'll start with the facts and you know. That British American Tobacco is going to be buying the remaining stake in Reynolds hi everybody it's variant truck with you here money. Friday normal these these deals get announced on Sunday night. For some reason they expedited this one tucked in new like I said BAT. By now Reynolds American. Yeah and this one here this is a deal it's going to be combined cash and stock deal when it's all said and done in order to get his deal completed British American Tobacco already owns a large state mean Reynolds about 42 point 2%. Is pretty good chances as a happening since they do control. Not a majority of the shares but they don't need a whole lot of people to get on board it already guy's done many seats on the board of directors of the you know the it looks like it's gonna happen and and if you're an old girl and owner of Reynolds American you're getting paid. Yeah so you are going to end up seeing this deal happen. It's going to end up working out to somewhere in the ballpark brown 5650 a share. For reynolds' shareholders represented about a 20% premium over what the stock was trading at previously. So you're getting a nice bump but you wore a Reynolds shareholder to that 20% bump there that he still gonna be absorbed into that new company. That ends up being. Really one of the biggest. Tobacco companies on the plan that woody. Think of the sectors made tobacco's a sector I look at an acid boy you know here. The N I'm not you know my moral high tour horse I've owned still more survival Reynolds American in the past and you know eight bit the you're talking about the company. That main factors are very dangerous product. You're also talking about a product that seems to be on the downside at least here domestically in the United States that tobacco users in the United States drew. Decreasing dramatically over fifty year period time fifty years ago folks. 40%. Of American adults smoked cigarettes and today that somewhere around 15%. Yet it's it definitely is eight that that type of company that has some significant ethical moral questions. So it all let him off the hook for that well I booze companies and casino company companies that we have out there today yeah. Are no different stocks were not even since stocks I mean look how often do you watch the NFL right eulogies national fell only mean lucky suit don't know Josh Brown who you know they kept on despite the fact that he was you know his wife of abusing his wife. You know you see this thing you say OK you know what are we really do it here so. Tobacco obviously look it's it's an addictive substances dangerous substance. There's an awful lot of them out there you know it's it's in their date they are not unique when it comes to companies that prey on people. And and fortunately take advantage. Trying to figure out the future of the tobacco business and were conducting a hole and I hope they'll participate in the system. Because probably may have they may not be allowed to merge because it still darn thing what does what I see the benefit of the Time Warner could you get additional distribution but with AT&T already picking up DirecTV seniority having content provider will be the benefit to them picking up Time Warner. To get the hard line in office buildings in in two houses and apartment buildings. The copper wires still. Until until they get a better way to transmit Internet high speed up the copper wires still weeks ago but they still have that from their legacy land line business. Right but imagine how much bigger it would be Time Warner. You look at the complementary match. Weigh in and they're in talks the rumor is that they are in talks when I I wondered the same thing that you do if would get regulatory. Analyst. Then another one day you know we're we're kind of Golan a little out on the limb here. But there's another rumor that coach and Burberry are going to march. Little high and merge their hall. They need to think about all high and retailers. Through Tiffany's in there and solely the the the that would make that would make some sense. Coach had a real problem over the last several years largely due to. Their design yet just they've just not put good products out there they need this more than Berber. Coaches really struggled if you go back 2012. Coaches trading 78 dollars a share to 35 today it's been the lowest 28 this coach is a company that has lost its way. Now and then I you know depression. I want to talk about a company can you pull up Alkermes stock but it will receive an a I'll bet you dollars to donuts Alkermes is rock and today. Up 30%. They have a drugs and in depression are if you know anybody who suffers from depression that. It's debilitating. And up until now all the medication it would take to Lee if you suffered from depression. Forces you put on a lot of weight yet EU blow up. Alkermes has a drug and has succeeded in a very important trial. To decreased depression but more importantly are just as importantly you don't gain weight when you take. Yet this this is a drug that did pass through a phase three trial. With flying colors here despite the fact that the same drug. Actually struggled in two earlier phase three trials so that the shares of the company have been somewhat of a roller coaster. Over the last year they were as high. Back in December. As eighty dollars a share they've bounced back up into the mid fifty's on this news here but clearly investors still have some questions do not getting back up to where it was prior to these other failures so. I think. This is an example though of why these companies need to get paid. Because you're you're talking about I don't know what percentage of the population suffers from depression but it's a large significant yet there there's a lot of Americans that a lot of people around the globe. That's awful suffer from depression and they won't take the medication because that they put on weight they in and not talking about a few pounds. Be they put on a lot of weight as a result of depression medication. Yep so it's you know it is remains to be seen whether this drug does end up. Passing additional trials and getting right regulatory approval if it does look out but this is a balance back to them after. You know some setbacks with it earlier in the year how big it now with their market cap Marquez about ten billion dollars the debt if they've a blockbuster drug. You could see their market cap though to fifteen billion. And then they could still be taken over somebody could say well you know will put that Nara product line yeah I mean if it obviously remains to be seen how much better it still is going to be right than the existing drugs out there we still don't have all the details obviously. You know I I haven't dug in July and its sights on a no. It's clearly moving the stock today. And is definitely a positive sign for them after some struggles with this drug over the course of the year Microsoft hitting a record high I some over sixty dollars a share earlier today. They reported earnings last night and SFT. They're making all the money in the cloud which I don't fully understand ton of money in the cloud they their cloud revenue. The run rate their came in about 9% above where analysts were expecting so they pretty much knocked it out of the park. On their cloud revenue here pretty much what they're doing is that there's a couple different ways that they are using the cloud. One is what most people would typically think of so you remember it used to be you go out you buy Microsoft Word and office and all that you spend 250 dollars once on yup. Well they're migrating people away from that platform they're migrating them to what's called. Believes that office 360 platform which is on the line it's hosted on the cloud so you don't you can access your documents any words very similar to a Google docs and something like that. Okay so that's one of their platforms they've built out. They're also doing more. In terms of infrastructure and cloud infrastructure for. Whether it's hosting web sites hosting other data whatever may be I thought that was Amazon's news it is so that's Amazon's 800 pound gorilla there Microsoft is really building. A formidable product suite there as well they're gonna be one of the big competitors to Amazon over the next decade courses you've got EE I know why HP is in that business. HP's cut its he's more on the hardware side they don't do a whole lot in terms of reburial Allen's company oracle Oracle's one of the big guys that's out there they were they were kind of the gold standard for awhile IBM's out there as well I mean. You've got a number of different companies that are there the other thing the big thing that is coming right now blanking on the term I believe it is. It's these cluster clouds where they they do a whole lot of different functions and they're trying to pretty much bridge. A number of different technologies into you know one easy to use sweet that you can just find it takes care of everything there couple startups that are in that area one I think. I'm trying to remember the name of blanking on a completely. But that's an area that could be competition for all these big guys when it's all said and done. That threat Monday through Wednesday leaving after the final debate. And our poll shows a very tight. Close race and I'll I'll 45 to 45 dead even. Gary Johnson is 2%. Richard Duncan angels started trying to 1% Duncan has on the Ohio ballot part percent current decided. What happened to the third party guys because they were trending much higher in Ohio I I thought Johnson Hadley. A few months ago as many as seven RE percent. Only got it and in the well we don't sit in the national polling she was always in the as you say they're 8910%. Range. But in the battleground states on what people more focused and and there is much more appetizing for Clinton triumphed. Are part of its comic. Got lost in the shuffle they were pulling and that's what 5% range and as as time goes on people rotate away a third party candidates historically. Now does that Compagnie problems toward Kerry Johnson and harp because he's not listed as the libertarian nominee. So it listed on the ballot as honest deleted so be it might be libertarians who may not see. The word libertarian. Might impact and I think part of the reason why. He was only getting as necessary to point 4%. David one thing that stands out in this Ohio poll is that you always ask. Whether people view these candidates as honest or trustworthy and in recent weeks we've seen Hillary Clinton getting slightly better even though still terrible numbers on honesty and trustworthiness. In this case she acts as you see Donald Trump perform a little bit better is that you need to Ohio or is that across the board that is starting to see that. It's unique to some battleground states but as you point out the pendulum has swung twice. Once where. You know Hillary Clinton having our untrustworthy numbers and then to try. During the videotape released in the allegations around that videotape please against prompt. And now sort of dark again where Hillary Clinton. Has 59%. Say that she's not to artists and trustworthy 51%. Say the same. About Donald Trump both numbers. Are bad imposed. Majorities figures but. If between the two looks like Hillary is not trusted. By you know the differences in people points higher than than than to try. And what percentage airway how many people surveyed said they're gonna watch the debate on Wednesday night from Ohio. It was interesting about seven intent 70% said that they plan to watch the final debate 22%. Said no. 8% weren't sure. What was interesting questions that the among the people weren't debate watchers. Hillary Clinton was leading tracked by two points. And among the people said they were going to watch the debate Donald Trump was winning. So I don't know whether people were trapped voter as a product tuning out. Debate in the media the year and it just gonna go vote for Donald Trump or. Whether Hillary Hillary supporters wanted to see if she would. Outperform Donald Trump in the current debate. Did debt is Clinton doing any better with men in Ohio where she still lagging. She's up six points since the last poll but she's still trailing men Martin and write double digits to try. Is on double digits down among women that's a classic. Terror. Gender gap. We would expect that potentially don't widen if women's issues become more prominent Ohio. Donald Trump the story. His mail support from rural suburban areas and especially among tunneling to families. If Hillary Clinton. The opposite you know her some more urban urban women from non government currently is and net differences it's a dead even race. How much did the Billy bush audio. Hurt Donald Trump in Ohio. You know it's tough to say although the biggest. Move between September October Suffolk polls was among independents. Trumped led by 27 points in among independents it's time which was a great margin for him at a real. The warning sign for Hillary Clinton but she's closed the gap actually trailing by so. High single digits 67 points. And she's competitive and so where this breaks breaks out is strategy it. If she wins independence. She went to if if if he if he get independents did too bad towards. What they were darkened to amber and starts to win independence by double digits and they'll prevail. You know now I saw Kelly any ought to really get hurt in New Hampshire by her affiliation with trump. How is Portman doing in Ohio vs Strickland. Weapons doing really well in our last poll he was hard single digits. But she is grown and you know oh Strickland has not grown Morton was 46. Ted Strickland was 31 and strict almost 31 in the last poll. Importance of turning nine so importance grown. And and he's kind of stayed the same. The problem for Strickland be on the fact it is a are indicative and he hasn't gotten any traction and Ohio. Is that there are three other candidates on the part about the split that non Portman well. And all three of them were getting at least 1% of the vote. What day you know in 2012 you guys had a tough time predicting the Romney Obama race you had edited is dead even and I think Obama ended up winning by three points is and that's unusual for you guys you guys are. Never wrong and don't tell you about that they're not well. Certain standards that type a plus some minus 4%. Accurate that's a good number when you're when you're evil and that I think a couple of our. A couple of doctors and played there. I think it was a dead even race when he did the poll and what to pull out listed in the top forest. Are themselves pretty Nestle quarter here today grew revenue by about 18% year over year. Transaction volume actually grew more quickly would suggest that people are using PayPal for more smaller ticket items which it. First doesn't sound great. But the fact they're going to a more often suggest that it's becoming something that they're using more frequently and that's a good thing overall for them so. I don't think they're gonna get a lot of competition from these other companies I I I've got to believe that the big banks get together and say look we're gonna. Put a lot of these little guys out of business like get if your Bank of America JPMorgan Chase Citi Wells Fargo. You know don't they come together and just say we we wanted to take then Mo and PayPal and get rid of those guys in and all that ourselves. But I think that that time has passed too late it's kind of like taxis trying to get rid of Hooper now. You know it's looked at what we've seen how big banks try to come up with new technological solutions they're slow they're not able to adapt quickly and the generally behind the other guys that are able to be a little bit more nimble so I think big banks will be a piece of what goes on in the future. But the getting ready after members PayPal is not trying to replace the banking system the trying to be a layer on top of that movement and that's something that I think they'll be able to do. No problem for the next 510 years at least. Beyond that who knows just technology changes but. I think god they're safe at the moment strong numbers. They've bought direct peace be. Earlier in the year not so they got themselves into the media business there. And I think they'll look at the doubled down on the media business specifically. On the content side of the business. So you're trying to marry the distribution of content with the actual ownership of the content much like got Comcast has done. How much of a library this Time Warner have. Time Warner's. Huge library they're at the you know year in and year out as the largest. Movie and television production company but the Warner Bros. studio. So they're really prolific that creator of contents. And they also have the turner networks PBS then. All the other turner networks there including CNN. And as well as obviously HBO which is you know another huge business and so they're you know arguably one of the you know the finest. Standalone media companies out there in the marketplace. An eagle and after Netflix. Doesn't appear to be at the time although there's certainly a lot of speculation of Alaska a couple of weeks about Netflix then would one of the larger meat. Companies take a look at Netflix given how how big. And how explosive growth that Netflix has been X experiencing so and this looks like just be another domino in in what has been AMP. You know a pretty widespread consolidation play across immediate space over the last several years it looks like this is just that kind of the next step. AT&T doesn't have the cash to disease so there would begin to borrow money or how how they gonna fondness. It looks like the majority needed to prop Libya a stock transaction. You know you your beta ATP has about a 125 billion dollars of debt. Time Warner itself has about 25 billion dollars in debt to combine B about a 150 billion dollars of debt that between the two companies have. This is most likely to be 88 stock for stock deal. So happy he was there you know they. They can agree on price and and on terms if in fact it does get that far. What are the regulators gonna say about a deal like this. The regulators look long and hard district transaction much like they did. You know when we had a lot of other consolidation on the cable television side the last couple of years AT&T buying DirecTV. Turner buying Time Warner Cable. Comcast was able to get its acquisition that of NBC universal. By making some concessions to the regulators to just ensure their access to content. And I suspect they AT&T deal like they can probably get this deal done with similar types of concessions to the various regulatory bodies. Between these two companies how many homes are they in right now. You know it's interesting day at the AT&T with its variety of businesses that would DirecTV would have a bit AT&T to watch the wireless servers so they'd be a touch pretty much everybody out there as best kind of warm up all the cable. Channel they have an HBO and so on and so port so. Yeah this is both of these companies you know touched just about every household out there 111 way or another. Do you think this deal does get done over the weekend Dave the fact that it's leaking out today. They can't like that dated somebody in the investment banking area must've let this loose. Yeah again you have a Bloomberg News broke this yes yesterday so you know and now that the you know once it's out there the other it's kind of time is of the essence they wanna get a feel announced an out there I suspect other companies may be. Yet think about what they wanna do in the context of eighteen keep buying Time Warner is anybody else wanna take a look at Time Warner does. These and other companies need to be talking to each other so I think it's me very busy day weekend if you will for all of immediate Telecom companies out there. Literally what it's Time Warner worth about seventy billion. Seventy billion dollars of of equity assistant at 25 billion dollars in debt so it's 95 billion dollars a total value for the company incidences I think huge transaction. I huge transaction for AT&T just at a time when it's you know. It's just an opinion tech digest. Direct television DirecTV which they bought last year or so this is about big move for certainly for AT&T. You think you have maybe apple jumps in on this the they've got the cash they could pay cash fourth they can outbid. AT&T and it would give them content that they so desperately need. Yeah that's that's with a lot of people are talking about in any any time you see one of these they get media emanating. Stories cross the tape you know we think about some of the big technology companies. Whether it's apple or Google alert even FaceBook thinking about if they ever wanna get into the content side of the business in a big way. They're only a handful of big media assets out there and Time Warner certainly mean more than whatever won anything crossed off the tape investors are saying this. Could speed it time and we see one of the big technology companies come and we haven't seen that yet they did very reluctant to really get into the ownership of contents it's as you know the media businesses a slower growth. Lower profit business relative to estimate technology businesses and it. I think the technology comes just been reluctant to kind of make that plunge. Now the idea it would I don't know from my perspective. There's all a lot of synergies therefore apple and you look at a company like Netflix and how well they're doing my gosh they're they're stock was up twenty bucks earlier this week you know yeah. And they get a Netflix there's just been an extraordinary story it's been you know incredible story of disruption of the of the television business like really haven't seen and that company. You know I had a market cap of over fifty billion dollars so that's no longer a small company. And so yeah a lot of these companies are really getting up there and then if somebody what does one commanding Geddes significant stake. And the content creation side of the business but I have to write a big check. Yes they will thank you very much Paul we sure appreciate your time. We're talking about. The AT&T rumored acquisition. Of Time Warner the symbol for Time Warner is TWX and their stock is up nine dollars. Up 11%. He went up just Waller we are having a conversation. And then AT&T shares are actually selling off their down three point 9% so maybe the market thinks that AT&T. Would have to spend too much money to buy Time Warner Cable.
